Welcome to Studio NMH (the “Platform”), operated by New Media Holding Pte Ltd, Singapore (“NMH”, “we”, “us”, “our”). These Terms of Service (“Terms”) govern your access to and use of the Platform and services provided through it, whether you are a Studio Owner or Operator (“Studio Partner”) or a User wishing to book a studio (“User”). By registering, accessing or using the Platform, you agree to be bound by these Terms.
“Platform” means the website and any associated mobile applications or services provided by NMH via the domain studionmh.com (and any successor domains).
“User” means an individual or entity who uses the Platform to search for, book and/or pay for a listed studio.
“Studio Partner” means an entity or individual that lists a studio via the Platform and which wholly manages the studio service.
“Studio” means a physical space listed on the Platform by a Studio Partner for booking by Users.
“Booking” means the confirmed reservation by a User of a Studio via the Platform.
“Booking Amount” means the total fee paid by a User for a Booking.
“Commission” means the fee charged by NMH to the Studio Partner for each Booking.
“Service” means the Platform’s facilitation services enabling listing and booking of Studios.
NMH provides an online marketplace where Studio Partners list their Studios and Users may browse and book those Studios.
NMH is not the owner or operator of any Studio listed on the Platform. The Studio Partner is wholly responsible for providing the Studio service.
When a User books a Studio via the Platform, the contract for the Booking is between the User and the Studio Partner. NMH acts only as an intermediary.
Studio Partners agree to pay NMH a Commission on each Booking as set out in their agreement.
NMH may also provide payment processing and customer support services, but the Studio Partner remains the service provider.
Users and Studio Partners must register, provide accurate information, and maintain confidentiality of login credentials.
Users must be 18 years or older. Studio Partners must ensure compliance with all applicable laws and maintain necessary licences and insurance.
4.1 Studio Partner Responsibility for Listings
Studio Partners are solely responsible for creating, managing, and maintaining the information contained in their Studio listings on the Platform. This includes, but is not limited to:
Studio Partners must ensure that all listing information is accurate, truthful, and kept up to date at all times. Any inaccurate, misleading, or outdated information in the listing is the sole responsibility of the Studio Partner.
4.2 Verification and Presentation of Listings
NMH may, but is under no obligation to, review, verify, or moderate the content of listings. Verification (if displayed) does not constitute an endorsement, guarantee, or certification of the Studio or its suitability for a particular purpose.
The order, placement, or ranking of listings in search results may depend on various factors including relevance, reviews, popularity, price, availability, user preferences, and NMH’s internal algorithms or commercial arrangements.
4.3 Pricing and Currency Display
Studio Partners determine the pricing for their Studios. NMH may display prices in different currencies for user convenience using real-time or periodic exchange-rate conversions.
Such conversions are for information only. The actual charged amount (and any foreign-exchange differences, bank fees, or currency rounding) is determined by your payment provider or financial institution.
Unless otherwise stated, all displayed prices are considered per booking and may or may not include taxes or additional charges (which must be clearly disclosed by the Studio Partner).
4.4 Availability and Real-Time Data
Studio Partners must ensure that their availability calendars are accurate and synchronised. Bookings may be rejected if the Studio is unavailable at the requested date/time.
NMH is not responsible for discrepancies between displayed and actual availability resulting from the Studio Partner’s failure to update their listing, external scheduling conflicts, or technical errors
4.5 Promotional and Discounted Rates
From time to time, NMH may offer or display special promotional pricing or limited-time discounts on behalf of Studio Partners. Such offers are subject to specific terms and availability, and may be withdrawn or modified at any time without notice.
4.6 Errors, Misprints, and Technical Issues
While NMH strives for accuracy in all displayed information, obvious errors (including typographical, currency conversion, or system-generated pricing errors) are not binding.
In the event of an apparent error or misprint:
4.7 Content Ownership and Use
By publishing listings, Studio Partners grant NMH a non-exclusive, royalty-free, worldwide licence to use, reproduce, modify, and distribute their listing information (including text, images, videos, and other content) for the purposes of displaying, promoting, and marketing the Studios on the Platform or through partner channels.
5.1 Booking Process
Users may browse Studio listings, select preferred dates, and initiate a booking request through the Platform. A booking (“Booking”) is only considered confirmed when:
Until confirmation, the Booking remains provisional, and NMH and the Studio Partner reserve the right to decline or cancel unconfirmed requests without liability.
5.2 to Confirm a Bookingtrong
To secure a Booking, Users must complete payment using one of the payment methods made available on the Platform.
Accepted methods may include (subject to region): credit or debit cards, digital wallets, bank transfers, or other supported electronic payment systems.
The applicable total amount (“Booking Amount”) will be displayed at the time of checkout, including any taxes, fees, deposits, or additional charges as indicated in the listing.
Payment authorisation and capture are processed via NMH or its designated payment processors. The User authorises NMH (or its payment partner) to collect, hold, and remit funds in accordance with these Terms.
5.3 Role of NMH in Payment Facilitation
NMH acts as a limited payment collection agent of the Studio Partner solely for the purpose of accepting payments from Users and transmitting them (minus applicable Commission and fees) to the Studio Partner.
Payment made by a User to NMH is considered payment made directly to the Studio Partner, and the User’s payment obligation for the Booking is satisfied once NMH has received the funds.
The Studio Partner agrees that NMH’s receipt of payment constitutes full settlement of any payment due from the User for that Booking.
5.4 Remittance to Studio Partners
Following the completion of a confirmed Booking, NMH will remit the net amount due (the Booking Amount minus NMH’s Commission, processing fees, or other applicable deductions) to the Studio Partner in accordance with the payout schedule set out in the Studio Partner Agreement.
Remittance timing may vary depending on:
NMH reserves the right to hold or delay remittance in case of dispute, refund request, chargeback, suspected fraud, or violation of these Terms.
5.5 Deposits, Security Holds & Additional Charges
Studio Partners may require Users to pay a refundable security deposit or authorise a temporary payment hold for potential damage, overtime use, or other incidentals as described in the listing.
Such deposits or holds are managed through the Platform where possible. The Studio Partner is solely responsible for releasing or refunding deposits within the stated timeframe after satisfactory completion of the booking.
NMH is not liable for disputes regarding the return of security deposits unless explicitly managed through NMH’s payment system
5.6 Refunds, Chargebacks & Disputes
Refunds (full or partial) will be processed in accordance with the cancellation policy attached to the Studio’s listing or as required by applicable law.
In the event of a chargeback or payment reversal initiated by a User’s payment provider, NMH reserves the right to recover any such amount from the Studio Partner, including associated fees.
NMH may mediate between Users and Studio Partners regarding disputes but is not obligated to guarantee resolution or compensation unless required by law.
5.7 Third-Party Payment Processors
NMH may use third-party payment processors or gateway providers to facilitate payment collection, remittance, and refunds.
These processors may include banks, licensed payment institutions, or digital-wallet providers. By using the Platform, you agree to be bound by such processors’ terms of service, privacy policies, and compliance requirements (including Know-Your-Customer (“KYC”) and anti-money-laundering (“AML”) checks).
NMH shall not be liable for service interruptions or losses caused by third-party payment systems beyond its control.
5.8 Currency, Exchange Rates & Fees
All payments on the Platform are processed in the currency displayed at checkout. For international transactions, your bank or card issuer may apply currency-conversion fees, cross-border transaction charges, or exchange-rate adjustments.
NMH is not responsible for such costs, and any discrepancies between the displayed and charged amounts caused by exchange-rate fluctuation are the responsibility of the User
5.9 Taxes & Invoicing
Studio Partners are solely responsible for determining and fulfilling their own tax obligations related to listings, bookings, or commissions — including value-added tax (VAT), goods and services tax (GST), sales tax, or any other applicable levies.
NMH may collect, report, or remit certain taxes where legally required (e.g., Singapore GST or withholding tax). Where NMH issues invoices or receipts on behalf of Studio Partners, such documents are provided for administrative convenience only.
Users are responsible for any taxes applicable to their use of the Platform in their jurisdiction.
5.10 Fraud Prevention & Compliance
NMH reserves the right to conduct payment verification, credit checks, or identity confirmation where necessary to prevent fraud or ensure compliance with financial regulations.
Bookings suspected of fraudulent or unauthorised payment activity may be suspended, cancelled, or reported to the appropriate authorities without notice.
5.11 Limitation of NMH’s Liability in Payments
NMH does not control or guarantee the financial solvency of Users or Studio Partners.
Except as required by law, NMH is not liable for payment delays, payment failures, or losses caused by banking systems, currency fluctuations, or unauthorised transactions outside its reasonable control.
6.1 Studio Partner Cancellation Policy
Each Studio Partner determines and publishes its own cancellation, modification, and refund policy as part of its listing.
This policy will specify:
The applicable policy is displayed to the User at the time of Booking and included in the Booking confirmation. By completing a Booking, the User acknowledges and agrees to be bound by the Studio Partner’s policy.
6.2 User-Initiated Cancellations or Modifications
Users may request to cancel or modify a Booking through the Platform or by contacting NMH (where supported).
6.3 Studio Partner-Initiated Cancellations
If a Studio Partner cancels a confirmed Booking:
6.4 Force Majeure & Extraordinary Circumstances
Neither the User, the Studio Partner, nor NMH shall be liable for failure or delay in performing obligations when caused by events beyond their reasonable control (“Force Majeure Events”).
These include but are not limited to natural disasters, severe weather, strikes, government restrictions, public-health emergencies, or power/internet outages.
In such cases, NMH will work with both parties to find a fair resolution, which may include rescheduling, credit issuance, or partial refund — subject to the Studio Partner’s policy and applicable law.
6.5 No-Shows
If a User fails to arrive at the booked time without prior cancellation (“No-Show”), the booking will be considered consumed, and the Studio Partner may retain the full Booking Amount in accordance with its policy.
The Studio Partner is not obligated to extend studio time, issue refunds, or reschedule in such cases.
6.6 Procedure for Cancellations and Refunds
6.7 Disputes and Mediation
If there is a disagreement between a User and a Studio Partner concerning a cancellation, refund, or “No-Show,” both parties are encouraged to first communicate through the Platform.
If unresolved, NMH may, at its discretion, offer to mediate or suggest an equitable solution based on available evidence.
However, NMH acts only as an intermediary and is not legally responsible for enforcing or guaranteeing compliance with any Studio Partner’s cancellation policy.
6.8 Right to Cancel by NMH
NMH reserves the right to cancel a Booking, at its sole discretion, if:
In such cases, NMH will notify the affected parties and process refunds where applicable.
6.9 Limitation of NMH Liability
NMH facilitates communication and payment between Users and Studio Partners but does not control or guarantee the actions of either party.
Therefore, NMH:
7.1 Commission Structure
Studio Partners agree to pay NMH a commission (“Commission”) for each confirmed Booking made through the Platform.
The Commission is calculated as a percentage of the total Booking Amount (excluding any applicable taxes, duties, or third-party fees) and is determined in accordance with the Studio Partner’s onboarding or partnership agreement.
The Commission compensates NMH for providing platform access, marketing exposure, payment facilitation, user acquisition, and ongoing administrative and technical support.
7.2 Payment of Commission
The Commission becomes immediately due and payable to NMH once a Booking is confirmed on the Platform, regardless of when the User’s session occurs or when the Studio Partner receives payment.
NMH will typically deduct the Commission automatically from the User’s payment before remitting the net balance to the Studio Partner (as per Section 5 — Booking & Payment).
If, for any reason, NMH is unable to withhold Commission automatically, the Studio Partner must remit the amount to NMH within the period stated in the invoice or written notice.
7.3 Applicability of Commission
Unless otherwise agreed in writing, the Commission applies to:
The Commission remains payable regardless of whether the User completes the Booking, cancels late, or fails to appear, unless the Studio Partner’s cancellation policy explicitly exempts such cases and NMH agrees in writing.
7.4 Additional Service Fees
In addition to the Commission, NMH may charge other fees to Studio Partners or Users, including but not limited to:
All such fees will be communicated transparently in advance and may be updated periodically with notice.
7.5 Invoicing & Statements
NMH will issue digital invoices or statements detailing the Commission and any applicable fees for each Booking period.
Studio Partners agree that electronic invoices or statements made available via the Platform or by email are legally binding.
Studio Partners are responsible for reviewing their statements regularly and must report any discrepancies within seven (7) business days of receipt. After this period, statements will be deemed accepted and final.
7.6 Taxes on Commission
The Commission and any other fees charged by NMH are exclusive of applicable taxes (such as Singapore Goods & Services Tax (“GST”) or other jurisdictional equivalents).
If NMH is required to collect or remit taxes on the Commission, the Studio Partner agrees to bear such amounts in addition to the Commission.
7.7 Adjustments, Refunds & Reversals
If a Booking is cancelled, refunded, or modified after payment, NMH may adjust the Commission accordingly, at its sole discretion and in line with the Studio Partner’s policy.
However, NMH retains the right to withhold or retain Commission if the cancellation was due to the Studio Partner’s fault (e.g., overbooking, facility issues, or non-performance).
If NMH has already remitted funds that later become subject to refund, chargeback, or dispute, NMH may recover such amounts (including Commission) from future payments or by direct invoicing the Studio Partner.
7.8 Set-Off & Deductions
NMH reserves the right to set off any amounts owed by the Studio Partner (including unpaid Commission, fees, or refunds) against any amounts due to the Studio Partner under any other Booking or agreement.
If the Studio Partner’s account balance is insufficient to cover the amounts owed, NMH may issue an invoice for the outstanding balance, payable within seven (7) days of issuance.
7.9 Late Payments & Interest
Any overdue Commission or fees not paid within the agreed timeframe may incur interest at 1.5% per month (or the maximum rate permitted by applicable law), calculated daily until payment is received.
Repeated late payments may result in temporary suspension or permanent termination of the Studio Partner’s listings.
7.10 Changes to Commission Rates or Fee Structure
NMH reserves the right to revise the Commission rate or introduce new fees at any time, provided that Studio Partners receive at least 30 days’ written notice before the new rates take effect.
If a Studio Partner continues to use the Platform after such notice period, the revised rates will be deemed accepted.
7.11 Transparency & Reporting
NMH may provide Studio Partners with performance analytics, booking trends, and payment summaries through the Platform.
While NMH strives to ensure accuracy, minor discrepancies (due to rounding, exchange rates, or processing delays) are not grounds for dispute unless material and substantiated.
7.12 Limitation of Liability
NMH is not responsible for indirect, consequential, or incidental damages arising from the calculation, deduction, or payment of Commission or fees.
In no case shall NMH’s aggregate liability under this Section exceed the total Commission paid by the Studio Partner to NMH in the twelve (12) months preceding the claim.
8.1 General Conduct Obligations
All Users and Studio Partners agree to use the Platform and its services in a responsible, lawful, and respectful manner.
By accessing or using the Platform, you agree that you will not engage in conduct that:
NMH reserves the right, at its sole discretion, to remove content, restrict functionality, or suspend or terminate accounts that breach this clause.
8.2 User Responsibilities
Users are solely responsible for:
Users are liable for any damages or losses caused to a Studio during a Booking (including those caused by their guests, employees, or contractors), subject to applicable law.
8.3 Studio Partner Responsibilities
Studio Partners acknowledge and agree that they are independent operators and not employees, agents, or representatives of NMH.

8.5 Reviews, Feedback & Ratings
Both Users and Studio Partners may post reviews or feedback after a Booking.
Reviews must be truthful, respectful, and based on genuine experiences.

NMH reserves the right to remove, edit, or restrict reviews that violate these rules or its content policy
8.6 Platform Integrity & Security
Users and Studio Partners must not attempt to:
Violations may result in immediate suspension, termination, and legal action.
8.7 Account Suspension, Termination & Reporting
NMH may, at its discretion, suspend, restrict, or terminate any User or Studio Partner account — temporarily or permanently — without notice if:
In serious cases, NMH may share relevant information with law enforcement or regulatory authorities where legally required.
8.8 Indemnity for Misconduct
Users and Studio Partners agree to indemnify and hold NMH harmless from and against any claims, damages, or liabilities resulting from their breach of this section, including costs associated with property damage, injury, or unlawful conduct
8.9 NMH’s Rights and Discretion
NMH reserves the right to:
9.1 Ownership of the Platform
All rights, title, and interest in and to the Platform, including but not limited to its design, layout, user interface, software, databases, systems, algorithms, trademarks, trade names, service marks, domain names, logos, text, graphics, photos, videos, audio clips, and other content (collectively, the “NMH Materials”), are and shall remain the exclusive property of New Media Holding Pte Ltd or its licensors.
Except as expressly stated herein, no licence or right is granted to Users or Studio Partners to use, copy, reproduce, modify, distribute, or exploit the NMH Materials in any way without NMH’s prior written consent.
9.2 Limited Right to Use the Platform
Subject to compliance with these Terms, NMH grants Users and Studio Partners a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Platform solely for its intended purposes:

9.3 Studio Partner Content and Licensing
Studio Partners retain ownership of all content they upload or submit to the Platform (“Studio Content”), including but not limited to: studio names, images, videos, descriptions, logos, pricing, policies, and other listing information.
By uploading or submitting Studio Content to the Platform, each Studio Partner grants NMH a worldwide, non-exclusive, royalty-free, transferable, sublicensable licence to:
This licence continues for as long as the Studio Content is available on the Platform and for a reasonable period thereafter for archival, promotional, or record-keeping purposes.
9.4 Representation and Warranty by Studio Partners
Each Studio Partner represents and warrants that:
9.5 User-Generated Content (Reviews, Photos, Comments)
Users may submit reviews, photos, or comments about their experiences (“User Content”).
By submitting User Content, the User grants NMH a perpetual, worldwide, non-exclusive, royalty-free licence to use, reproduce, modify, publish, display, and distribute such content for purposes of improving, marketing, or operating the Platform.
NMH may, at its discretion, edit, moderate, or remove User Content that is inaccurate, misleading, defamatory, or otherwise inappropriate.
Users remain responsible for their own submissions and agree not to post any content that is unlawful, false, or infringes third-party rights.
9.6 Trademarks and Branding
“Studio NMH,” “New Media Holding,” and all related names, logos, and design marks are trademarks or service marks owned by NMH.
You may not use these marks in any manner — including in advertising, press releases, domain names, or social media — without NMH’s prior written approval.
Studio Partners may reference the Platform in their marketing materials (e.g., “Listed on Studio NMH”) only in accordance with NMH’s brand guidelines and solely for factual, non-derogatory purposes.
9.7 Prohibited Use of NMH Intellectual Property
Except where expressly permitted, it is strictly prohibited to:
Any unauthorised use will constitute a breach of these Terms and may result in immediate termination, legal action, and/or reporting to authorities.
9.8 Protection of NMH’s Intellectual Property
NMH takes intellectual property rights seriously and reserves all legal remedies for unauthorised use, infringement, or misappropriation of its intellectual property.
If you believe any content on the Platform infringes your rights, please contact NMH at legal@studionmh.com with supporting documentation. NMH will review and take appropriate action under applicable laws.
9.9 Survival of Rights
The intellectual property clauses of these Terms survive the termination of your account or your use of the Platform.
NMH retains all ownership and licensing rights to content, data, and branding created or used during your participation on the Platform.
10.1 Purpose of Reviews and Ratings
The Platform allows Users to post reviews, ratings, comments, or other feedback (“Reviews”) about their experiences with Studios and Studio Partners.
These Reviews are intended to promote transparency, assist other Users in making informed booking decisions, and help Studio Partners improve their services.
NMH values authentic and respectful feedback and expects all Users and Studio Partners to adhere to the rules in this section.
10.2 User Review Guidelines
Users who have completed a Booking through the Platform may submit a Review within a reasonable period after their session.

10.3 Studio Partner Responses
Studio Partners may respond publicly to Reviews about their listings in a professional and factual manner.
Responses must comply with the same standards of respect and accuracy as Reviews.

10.4 Moderation and Removal of Content
NMH reserves the right, but not the obligation, to monitor, edit, filter, or remove any Review, comment, or rating that violates these Terms or applicable law.

While NMH strives to maintain integrity in reviews, it does not guarantee the accuracy, completeness, or reliability of any Review posted by Users.
10.5 Use of Reviews by NMH
By submitting a Review, Users grant NMH a worldwide, perpetual, irrevocable, non-exclusive, royalty-free licence to use, display, reproduce, adapt, translate, and distribute the Review (in whole or part) across NMH’s marketing channels, including websites, social media, advertisements, and partner platforms.
This allows NMH to showcase authentic feedback and promote the Platform’s credibility.
10.6 Dispute Resolution Between Users and Studio Partners
If a dispute arises between a User and a Studio Partner — such as disagreements about service quality, damages, time usage, or refund eligibility — both parties must first attempt to resolve the matter directly through open and respectful communication, preferably using NMH’s in-platform messaging system.
The dispute may include issues related to:
10.7 NMH’s Role in Dispute Handling
NMH is not a party to the Booking contract between the User and the Studio Partner.
However, as a neutral intermediary, NMH may — at its discretion and subject to available information — assist in mediating disputes for the purpose of facilitating communication and suggesting fair outcomes.
In particular:
Both Users and Studio Partners agree to cooperate fully and respond promptly to NMH’s requests during any dispute process.
10.8 Resolution and Finality
NMH’s final determination (if mediation is sought) will be made in good faith, based on the evidence provided by both parties and consistent with NMH’s policies.
While NMH’s determinations are generally final within the Platform, this does not affect the legal rights of either party to pursue independent remedies through the courts or other authorities.
10.9 Exclusion of Liability
NMH provides the review, rating, and dispute-resolution features as part of its service to foster trust and quality but:

The Platform, including all features, functionality, software, listings, and content, is provided by NMH on an “as is” and “as available” basis.
To the fullest extent permitted by law, NMH makes no warranties, representations, or guarantees, express or implied, regarding the Platform, including but not limited to:
Your use of the Platform and reliance on any content, listing, or communication thereon is at your own risk.
11.2 No Warranty on Studio Services
NMH operates solely as an intermediary and facilitator of bookings between Users and Studio Partners.
NMH does not own, manage, operate, control, inspect, or maintain any Studio listed on the Platform.
Accordingly, NMH makes no representations or warranties regarding:
Any issues, claims, or damages arising from the use of a Studio are the sole responsibility of the relevant Studio Partner and/or User.
11.3 No Guarantee of Uninterrupted Access or Results
NMH does not guarantee that the Platform, its servers, or communications will be uninterrupted, error-free, or free of security vulnerabilities.
Access to the Platform may be temporarily suspended for maintenance, upgrades, or other reasons without notice.
NMH will not be liable for any delays, interruptions, data loss, or inability to access services resulting from circumstances beyond its reasonable control (including network failures, power outages, or force majeure events).
11.4 Third-Party Content and Links
The Platform may contain links to third-party websites, services, or resources that are not owned or controlled by NMH.
NMH does not endorse or assume any responsibility for such third-party content, nor does it guarantee the accuracy or availability of their information or services.
Your dealings with such third parties are solely between you and the respective provider, and NMH bears no responsibility for losses or damages arising from such interactions.
11.5 User and Studio Partner Representations
By using the Platform, each User and Studio Partner represents and warrants that:
Users and Studio Partners are solely responsible for ensuring their own compliance with relevant legal, tax, safety, and insurance obligations.
11.6 No Advice or Professional Relationship
Nothing on the Platform or in NMH’s communications constitutes legal, financial, or professional advice.
Use of the Platform does not create any partnership, joint venture, employment, or agency relationship between NMH and Users or Studio Partners.
Each party acts independently in its business dealings.
11.7 Disclaimer of Implied Warranties
To the maximum extent permitted by applicable law, NMH expressly disclaims all implied warranties, including but not limited to:
Some jurisdictions do not allow exclusion of certain implied warranties, so some of these disclaimers may not apply to you. In such cases, NMH’s liability shall be limited to the minimum extent permitted by law.
11.8 Limitation of Responsibility
Without limiting other sections of these Terms, NMH shall not be liable for any:
All interactions, contracts, and disputes between Users and Studio Partners are at their own risk.
11.9 Acknowledgment
By using the Platform, you acknowledge and agree that:
If you do not agree with these limitations, you must discontinue using the Platform immediately.
To the fullest extent permitted by applicable law, NMH, its parent company (New Media Holding Pte Ltd), affiliates, directors, officers, employees, agents, licensors, and service providers (collectively, the “NMH Parties”) shall not be liable for any indirect, incidental, consequential, exemplary, punitive, or special damages, whether arising in contract, tort (including negligence), strict liability, or otherwise.
This includes (without limitation) loss of profits, loss of data, loss of goodwill, business interruption, or reputational harm resulting from or in connection with:
12.2 Maximum Aggregate Liability
Without prejudice to the foregoing, and to the extent NMH is found liable by a competent court or authority, the maximum total liability of NMH to any Studio Partner, User, or third party, for any and all claims (whether in contract, tort, or otherwise) arising out of or in connection with these Terms or use of the Platform shall not exceed the total amount of Commission actually paid by the Studio Partner to NMH in the twelve (12) months immediately preceding the event giving rise to such liability.
If you are a User, NMH’s total liability shall not exceed the total Booking Amount paid by you for the specific transaction giving rise to the claim.
This limitation is cumulative and applies regardless of the number of claims or the legal theory asserted.
12.3 No Liability for Third-Party Acts
NMH has no control over and accepts no responsibility or liability for:
Each Studio Partner and User acknowledges that NMH’s role is limited to providing a booking marketplace and payment facilitation service.
12.4 Force Majeure
NMH shall not be liable or responsible for any failure to perform, or delay in performance of, any of its obligations under these Terms caused by events beyond its reasonable control (“Force Majeure Events”), including but not limited to natural disasters, acts of government, wars, riots, pandemics, industrial disputes, failures of telecommunications networks, or power outages.
In such cases, NMH’s obligations will be suspended for the duration of the Force Majeure Event.
12.5 Applicability and Exceptions
Certain jurisdictions do not allow exclusion or limitation of liability for certain damages (e.g., death or personal injury caused by negligence, fraud, or gross negligence).
Nothing in these Terms shall exclude or limit NMH’s liability in such cases where exclusion is prohibited by law.
Where limitations are permitted, they shall apply to the maximum extent allowed by applicable law.
12.6 Allocation of Risk
Each User and Studio Partner acknowledges that the disclaimers and limitations of liability in these Terms reflect a reasonable and fair allocation of risk between the parties and are an essential basis of NMH’s agreement to provide access to the Platform.
Without these limitations, NMH would not be able to offer the Platform and services on the same terms or at the same cost.
12.7 Time Limitation for Claims
To the extent permitted by law, any claim or cause of action arising out of or related to the use of the Platform or these Terms must be filed within one (1) year after such claim or cause of action arose, or it shall be permanently barred.
13.1 General Obligation to Indemnify
Each User and Studio Partner (collectively, “you”) agrees to indemnify, defend, and hold harmless NMH, its parent company (New Media Holding Pte Ltd), affiliates, subsidiaries, directors, officers, employees, agents, licensors, contractors, and service providers (collectively, the “NMH Parties”) from and against any and all claims, demands, actions, proceedings, losses, liabilities, damages, fines, penalties, costs, and expenses (including reasonable legal and professional fees) arising out of or related to:
This obligation applies regardless of whether such claims are brought directly against NMH or jointly against NMH and any other party.
13.2 Indemnification by Studio Partners
In addition to the general indemnity above, each Studio Partner specifically agrees to indemnify and hold NMH harmless from any and all claims, damages, or losses arising from or related to:
Studio Partners acknowledge and agree that they are independent service providers and are solely responsible for their own acts, omissions, and liabilities toward Users and third parties.
13.3 Indemnification by Users
Each User agrees to indemnify NMH against any claims or damages arising from:

If any claim, action, or proceeding is brought against NMH for which indemnification may be sought:
Failure by NMH to promptly notify the indemnifying party will not relieve that party of its obligations unless the failure materially prejudices its defense.
13.5 Continuing Obligation

The indemnification rights and remedies under this clause are cumulative and in addition to any other rights or remedies provided by law.
13.6 Limitation on NMH’s Duty to Indemnify
Nothing in these Terms shall be construed to require NMH to indemnify any User or Studio Partner except where expressly stated in a separate written agreement.
NMH’s role is limited to that of an intermediary, and NMH shall not be responsible for losses arising from the acts or omissions of Users or Studio Partners.
14.1 Right to Suspend or Terminate
NMH reserves the right, at its sole discretion, to suspend, restrict, deactivate, or terminate any account (User or Studio Partner) and/or access to the Platform, with or without notice, at any time, if:
Termination or suspension under this section may occur immediately and without prior notice in cases where NMH deems it necessary to protect its interests or the integrity of the Platform.
14.2 Voluntary Termination by Users or Studio Partners
Users or Studio Partners may request to terminate their accounts at any time by notifying NMH in writing or via account settings (where available).
Termination of an account will not affect:
All pending obligations, payments, and liabilities remain enforceable after termination.
14.3 Effect of Suspension or Termination
Upon suspension or termination:
NMH is not liable for any losses, damages, or inconvenience resulting from account suspension or termination, including the loss of data, revenue, or reputation.
14.4 Existing Bookings
Termination or suspension does not automatically cancel confirmed Bookings.
NMH reserves the right to handle such Bookings in a manner that ensures fairness to both parties, including offering alternative studios, issuing credits, or refunding payments.
14.5 Reactivation of Accounts
NMH may, at its discretion, allow suspended or terminated accounts to be reactivated if the issue leading to suspension has been resolved, all outstanding obligations are fulfilled, and the User or Studio Partner demonstrates continued compliance with these Terms.
NMH is under no obligation to reinstate any account or data that was deleted prior to reactivation.
14.6 Termination by NMH for Business Reasons
NMH may discontinue, withdraw, or modify all or part of the Platform at any time, with reasonable notice where feasible, for legitimate business or operational reasons (e.g., restructuring, merger, or technology updates).
In such cases, NMH will use reasonable efforts to minimise disruption and, where applicable, process any pending Bookings or refunds in accordance with existing policies.
14.7 Survival of Obligations
Termination or suspension of your account will not affect provisions of these Terms that are intended to survive termination, including but not limited to:
All rights and obligations accrued prior to termination shall remain in full force and effect.
14.8 No Liability for Termination
NMH shall not be liable for any losses, damages, loss of income, or reputational harm resulting from the suspension or termination of any account, removal of content, or discontinuation of Platform access.
By using the Platform, you acknowledge that NMH has the sole and absolute discretion to take such action where it believes necessary to protect users, maintain quality, or comply with legal obligations.
15.1 Governing Law
These Terms, and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them, their subject matter, or formation, shall be governed by and construed in accordance with the laws of the Singapore, without giving effect to any conflict of law principles that may provide otherwise.
15.2 Jurisdiction
You agree that the courts of Singapore shall have non-exclusive jurisdiction to settle any dispute or claim arising out of or relating to these Terms, the Platform, or any booking made through it.
This means that while disputes may primarily be brought in Singapore, NMH retains the right to bring proceedings in other jurisdictions if necessary to protect its interests (for example, to enforce judgments, recover payments, or protect intellectual property).
15.3 Good-Faith Negotiation and Mediation
Before initiating formal legal proceedings, Users and Studio Partners agree to first attempt to resolve any dispute amicably and in good faith through direct communication or mediation facilitated by NMH.
If the dispute cannot be resolved within a reasonable period (typically 30 days) after written notice of the dispute, either party may proceed to formal legal proceedings under Clause 15.2.
NMH may, at its discretion, offer internal dispute-resolution mechanisms to assist the parties in reaching a fair outcome; however, such facilitation does not constitute legal arbitration and is non-binding.
15.4 Arbitration Option (if applicable)
At NMH’s discretion — or if both parties mutually agree — certain disputes may be referred to binding arbitration in Singapore, conducted in English and administered by the Singapore International Arbitration Centre (SIAC) under its rules then in force.
This arbitration clause is intended to provide a faster, confidential, and cost-effective dispute-resolution mechanism.
16.1 Entire Agreement
These Terms, together with any additional agreements, policies, or guidelines referenced herein (including but not limited to the Privacy & Cookies Policy and any Studio Partner Agreements), constitute the entire agreement between you and New Media Holding Pte Ltd (“NMH”) with respect to your access to and use of the Platform and supersede all prior or contemporaneous understandings, negotiations, representations, or agreements, whether written or oral, relating to the same subject matter.
16.2 Amendments and Updates
NMH reserves the right to amend, modify, or update these Terms at any time, at its sole discretion.
When updates are made:
Continued access or use of the Platform after such posting constitutes acceptance of the revised Terms.
If you do not agree with any changes, you must stop using the Platform immediately.
16.3 Assignment
You may not assign, transfer, or delegate any rights or obligations under these Terms without NMH’s prior written consent.
NMH may freely assign or transfer its rights and obligations under these Terms (including in connection with any merger, acquisition, or sale of assets) without restriction or prior notice to you.
Subject to the foregoing, these Terms will be binding upon and inure to the benefit of the parties and their respective successors and permitted assigns.
16.4 No Partnership or Agency
Nothing in these Terms shall be construed as creating any partnership, joint venture, employment, or agency relationship between NMH and any User or Studio Partner.
Each party acts independently and for its own account.
No party has authority to make or accept offers, representations, or commitments on behalf of the other.
16.5 Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.
16.6 Waiver
No failure or delay by NMH in exercising any right, power, or remedy under these Terms shall operate as a waiver thereof.
Any waiver of rights must be in writing and signed by NMH.
The single or partial exercise of any right or remedy shall not prevent any further or future exercise thereof.
16.7 Notices and Communications
All notices and communications required or permitted under these Terms shall be in writing and deemed delivered when:

16.8 Third-Party Rights
No person or entity other than NMH, Users, or Studio Partners shall have any rights under or in connection with these Terms.
The Contracts (Rights of Third Parties) Act 2001 (Singapore) shall not apply to these Terms.
16.9 Headings and Interpretation
Headings and section titles in these Terms are for convenience only and shall not affect the interpretation or construction of any provision.
The words “including,” “include,” or “for example” shall be interpreted as illustrative and not limiting.
16.10 Survival
Provisions of these Terms that, by their nature, should survive termination (including those relating to payments, intellectual property, limitation of liability, indemnification, and dispute resolution) shall survive indefinitely after termination or expiration.
